Terms of Service

IMPORTANT: BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Definitions

• "Bizalys", "we", "us", "our": Bizalys Infosystems Private Limited (CIN: U72900MH2020PTC342414)
• "Services": Bizalys website, software applications, mobile apps, APIs, and related services
• "Client", "you", "your": User or entity accessing the Services
• "Client Data": Data uploaded, stored, or processed by you through the Services

2. About the Services

Bizalys provides SaaS-based practice management solutions for Chartered Accountants and professional services firms. The Services are designed for professional/commercial use and are not intended for personal, family, or household purposes, to the maximum extent permitted under applicable law.

3. Account Registration

You must provide accurate information during registration and maintain account security. You are responsible for all activities under your account. You must be at least 18 years old and have authority to bind your organization (if applicable).

4. Subscription and Payment

4.1 Plans

Available subscription plans are published on our website with current pricing.

4.2 Billing

Subscriptions are billed in advance (monthly/annually). Payments are non-refundable except as stated below.

4.3 Refunds

First-time subscribers may request a pro-rated refund within 30 days of initial purchase. Renewals are non-refundable. Discretionary refunds may be granted on a case-by-case basis, subject to internal refund policy.

4.4 Renewal

Subscriptions auto-renew unless cancelled before the renewal date.

4.5 Taxes

Prices exclude applicable taxes (GST). You are responsible for all taxes.

5. License and Restrictions

5.1 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription term.

5.2 Restrictions

You shall not:

• Sublicense, sell, or redistribute the Services
• Reverse engineer, decompile, or disassemble the Services, except to the extent permitted by applicable law
• Circumvent security measures
• Use the Services for illegal purposes
• Introduce malware or harmful code

5.3 Benchmarking

Commercial exploitation or public disclosure of performance benchmarks without our written consent is prohibited.

6. Client Data

6.1 Ownership

You retain all rights to your Client Data. We claim no ownership.

6.2 License to Us

You grant us a limited license to process Client Data solely to provide the Services.

6.3 AI/ML Training

We will NOT train machine learning models on your Client Data without your explicit contractual consent.

6.4 Your Role

You are the Data Fiduciary for your Client Data and responsible for obtaining necessary consents from Data Principals. Bizalys acts as Data Processor, with its obligations governed by the Data Processing Addendum.

6.5 Data Export

You may export your Client Data at any time during your subscription. Upon termination, data is available for export for 30 days before deletion.

7. Service Availability

7.1 Uptime Target

We target 99.5% uptime, excluding scheduled maintenance. This is a non-binding target for informational purposes only, not a contractual guarantee. Enterprise clients may negotiate specific SLAs separately.

7.2 Maintenance

Scheduled maintenance will be notified in advance where practicable.

8. Intellectual Property

All intellectual property in the Services (excluding Client Data) belongs to Bizalys. "Bizalys" and related marks are our trademarks. Nothing in these Terms transfers any IP rights to you except the limited license granted herein.

9. Disclaimers

9.1 As-Is

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9.2 Not Professional Advice

The Services are tools to assist professional practice. They do not constitute legal, tax, accounting, or professional advice. You are solely responsible for professional judgments. You agree you have not relied on the Services as professional advice.

9.3 Third-Party Services

We are not responsible for third-party services, integrations, or content.

10. Limitation of Liability

10.1 Exclusion

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZALYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

10.2 Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, (B) ₹1,00,000 (RUPEES ONE LAKH), OR (C) THE MINIMUM REQUIRED UNDER APPLICABLE LAW, WHICHEVER IS HIGHER, UNLESS OTHERWISE AGREED IN AN ENTERPRISE SLA OR DPA.

10.3 Exceptions

These limitations do not apply to liability arising from Bizalys's willful misconduct or gross negligence, or liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold Bizalys harmless from claims arising from: (a) your use of the Services; (b) your Client Data; (c) your violation of these Terms; (d) your violation of applicable law. This indemnification obligation does not apply to the extent such claims arise from Bizalys's willful misconduct or gross negligence.

12. Termination

12.1 By You

You may cancel your subscription at any time. Access continues until the end of the current billing period.

12.2 By Us

We may suspend or terminate access for:

• Material breach of these Terms
• Non-payment
• Illegal activity
• Actions that harm other users or our systems

12.3 Effect

Upon termination, your license ends. Data export is available for 30 days; thereafter data is deleted subject to retention required by law, contract, or legal hold. Provisions that should survive termination (IP, liability, indemnification, governing law) will survive.

13. Modifications to Terms

We may modify these Terms with at least 30 days' notice for material changes. Continued use after changes constitutes acceptance. If you do not agree to material changes, you may terminate your subscription without penalty within 30 days of notification, with pro-rated refund for unused prepaid periods.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India.

14.2 Jurisdiction

Courts at Nashik, Maharashtra shall have exclusive jurisdiction, subject to arbitration below.

14.3 Arbitration

Disputes shall first be resolved by arbitration under the Arbitration and Conciliation Act, 1996, in Nashik, with proceedings in English. Arbitration shall prevail over court proceedings for contractual disputes.

14.4 Class Action Waiver

To the extent permitted under applicable law, you agree to resolve disputes individually, not as part of a class or collective action.

14.5 Limitation Period

Claims must be brought within one year of accrual, to the extent permitted under applicable law and unless prohibited by applicable law.

15. General Provisions

15.1 Entire Agreement

These Terms, Privacy Policy, Cookie Policy, and DPA (if applicable) constitute the entire agreement.

15.2 Severability

If any provision is unenforceable, remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any provision is not a waiver.

15.4 Assignment

You may not assign these Terms without consent. We may assign in connection with merger or acquisition.

15.5 Force Majeure

Neither party liable for delays due to events beyond reasonable control.
